If you have taken the decision to open a business in Spain then it is best tomake certain the company is functioning properly correctly from the beginning. You should start by getting expert advice from a good business lawyer before you strike a blow. This advice applies whether you are considering opening:
• Empresa individual - A sole trader with the business in one person’s name.
• Sociedad Civil - The business is in several names: a partnership.
• Sociedad Limitada (S.L.) - A registered limited company.
• Sociedad Anonima (S.A.) - A large company with registered shareholders.
Within a short space of time you will need to visit the local Police Station to obtain an NIE number (identity number for foreigners). This can be done through a good lawyer or gestor but it will cost you.
You will also have to register at the local town hall for something called a Licencia de Apertura - opening licence. This will register your business in the local area, stating what type of business it is and how it operates. Next you register with the Spanish tax authorities (Agencia Tributaria) to pay the appropriate tax on your income. Then it’s off to register for seguridad social payments - contributions you make to the state for treatment through the Spanish health system and inclusion into the Spanish state pension etc.
A good lawyer or gestor should able to offer you a complete package for the above. They will also warn you of any pitfalls that you may not even have considered. Being at least bi-lingual your lawyer will assist you in the many form filling activities you will find yourself involved in. You need to seek out a good Spanish accountant to make sure you pay all that is required to be paid in the way of taxes, etc.
In conjunction with taking care of the legal side of things you need to focus on your actual business. Location, location, location! It is so important that you really keep your mind focused on this activity. If, for example, it is a bar you are considering then look carefully around to see what level of business your competitors are doing. Is the bar you are considering in a ‘weak’ area? One street forward or back can make all the difference. Time of the year can also make a difference. One entertainment bar in Benidorm is full to capacity in winter when the pensioners flock to the resort. Visit the same bar in summer and it is almost completely empty. Rents can vary hugely and it is worth doing your homework on this. Compare and contrast at this stage and save anxiety later. Try to work out hidden costs. Set aside for advertising and make sure when you do advertise you advertise efficiently. If you are reading this others, too, will read the site! Secure an advertisement on the ‘Spanish Advertiser’ and secure maximum coverage. Consider the Costa Loot magazine to spread the word farther. Bear in mind the advise of a very successful bar owner ‘Keep your doors open!’. Good Luck!
